GMEC Website terms and conditions

When you access the GMEC website you are deemed to have entered into an Agreement with Greenlands Management & Engineering Consultants Ltd (hereinafter referred to as GMEC Ltd) and to have agreed to abide by and be bound by the Terms and Conditions and disclaimers set out below. If you do not accept these Terms and Conditions, please do not use the site. GMEC Ltd reserves the right to change, modify, add or remove portions of these Terms and Conditions at any time. Your continued use of the site, following the posting of such changes, will be taken as your acceptance of such changes.
Definitions
“You” or “Your” means the individual, organisation or company (including any subsidiaries) entering into this agreement with us by accepting our terms.
“Us” “We” or “Our” means Greenlands Management & Engineering Consultants Ltd, (Company Registration No 2940338) referred to in these term as GMEC Ltd. Our registered address is Mill Barn, 25 Mill Lane, Chalgrove, Oxfordshire, OX44 7SL.

1. Intellectual Property
All materials on the GMEC Ltd website (“This Site”), including the design and layout, images, graphics, and text, including also any such material emailed to you in conjunction with This Site are copyright and the property of GMEC Ltd. You may retrieve and display GMEC content on a computer screen and print individual pages on paper and store such pages in electronic form for caching purposes for your personal, non-commercial use only, provided that you keep intact all copyright and other proprietary notices. Use of GMEC Ltd Content for any purpose not expressly permitted in these Terms and Conditions is prohibited.

If you own or operate a website, you may not mirror on that site any pages of this site.

You may not engage in the systematic retrieval of data or GMEC Ltd Content from this site to create or compile, directly or indirectly, a collection, compilation, database or directory without prior written permission of GMEC Ltd. The use of GMEC Ltd content on any other website, newsgroup mailing list, electronic bulletin board, server or other storage device in a networked computer environment, for any purpose, is expressly prohibited without prior written permission of GMEC Ltd

The GMEC website contains links to Third Party and External Sites. These links are provided solely for your convenience and not as an endorsement by us of the owner or the content of such Third Party or External Sites. We are not responsible for the content of any linked Third Party or External Sites and do not make any representations regarding the content or accuracy of materials on such sites. GMEC Ltd is not responsible for the availability of Third Party and External Sites.

You should contact the owners or site administrators of any Third Party or external sites if you have any issues concerning them or links to them. You should take precautions when downloading files from all web sites to protect your computer from viruses and other destructive programs. If you decide to access linked Third Party or External Sites, you do so at your own risk.

4. Changes to This Site
GMEC Ltd reserves the right, in their sole discretion, to suspend, change, modify, add or remove, temporarily or permanently, portions of GMEC Ltd Content available on This Site at any time and to restrict the use and accessibility of This Site.

5. Registration and Subscription to the member’s area of This Site
The Members’ section of this site is open to you if you register and pay the appropriate fee. This requires a registration user name and password. You agree to provide GMEC Ltd with accurate, complete registration information where required (including in particular your email address) and notify GMEC Ltd of any changes to such information. If you fail to provide or update information that is true, accurate, current and complete, or if we have reasonable grounds to suspect that such information is false, inaccurate, not current, or incomplete, we shall have the right to suspend or terminate your access and refuse any and all current or future use of the GMEC Ltd Content (or any portion thereof).

You are solely responsible for the confidentiality and use of your registration, user name and password. You agree to notify GMEC Ltd immediately if you become aware of any loss or theft of this information, or any unauthorised use of it. You are responsible for the confidentiality and use of your registration user name and password and all activities that occur under your registration user name or password. We cannot and will not be liable for any loss or damage arising from your failure to comply with this. You may not use, or allow others to use your registration user name and password, directly or indirectly, to:

(a) attempt to or actually disrupt, impair or interfere with, alter or modify anything on this website
(b) act in a way that affects or reflects negatively on GMEC Ltd, or any other party
(c) transmit or communicate any advertising, promotion or solicitation
(d) collect or attempt to collect any information of others, including passwords and other information.

For the purpose of confirming your compliance with these terms of use, GMEC Ltd reserves the right to monitor and record activity, including use of your registration user name and password.

7. Communication by Other Users
GMEC Ltd does not represent or guarantee the truthfulness accuracy, or reliability of any communications or published articles contributed by contributors or other users or endorse any opinions therein expressed. You acknowledge that any reliance on material posted by contributors or other users will be at your own risk.

8. Software and downloading
GMEC Ltd is not responsible for any technical or other issues that may arise if you download software from an external third party website (e.g. Acrobat Reader) or upgrade your browser software to enhance your usage of This Site.

GMEC Ltd may provide content for your downloading. However, the download time can vary considerably between the types of content and you agree that you are wholly liable and responsible for any communications or other charges incurred in downloading the same.

9. Force Majeure
GMEC Ltd will not be liable or deemed to be in default for any delay or failure in performance or interruption of This Site or the delivery of GMEC Ltd Content resulting directly or indirectly from any cause or circumstance beyond their reasonable control, including but not limited to failure of electronic or mechanical equipment or communication lines, telephone or other interconnect problems, computer viruses, unauthorised access, theft, operator errors, severe weather, earthquakes or natural disasters, strikes or other labour problems, wars, or governmental restrictions.

10. Assignment of Agreement
This Agreement is personal to you and your rights and obligations under these Terms may not be assigned, sub-licensed or otherwise transferred. This agreement may be assigned to a third party by GMEC Ltd

11. Termination
GMEC Ltd reserves the right to restrict, suspend or terminate this Agreement and your access to all or any part of This Site at any time and for any reason without prior notice or liability. We reserve the right to change, suspend, or discontinue all or any part of This Site or GMEC Ltd Content at any time without prior notice or liability.

12. Indemnity
You agree to defend, indemnify, and hold harmless GMEC Ltd from and against any and all claims, actions or demands, including, without limitation, reasonable legal fees, arising or resulting from your access to, conduct on, or use or misuse of This Site or GMEC Content, or use or misuse by any other person using your user name and password, or your breach of these Terms and Conditions. We reserve the right to assume the exclusive defence and control of any matter otherwise subject to indemnification by you, and in such case, you agree to cooperate with our defence of such claim.

13. Unenforceable clauses
If any provision of these Terms and Conditions is invalid or unenforceable, such will not render all the Terms and Conditions unenforceable or invalid. The Terms and Conditions will be read and construed as if the invalid or unenforceable provision(s) are not contained therein.

14. Statute of Limitations
Any course of action of yours with respect to these Terms and Conditions must be filed in a court of competent jurisdiction in England, within one year after the cause of action has arisen, or such course will be barred, invalid, and void.

15. Whole Agreement
Unless expressly referred to herein, any representation, warranty, term or condition not expressly set out in these Terms and Conditions shall not apply.

16. Governing Law and Jurisdiction
These Terms and Conditions shall be governed by, and construed in accordance with, English law. The parties irrevocably agree that the courts of England shall (subject to the paragraph below) have exclusive jurisdiction to settle any dispute which may arise out of, under, or in connection with these Terms and Conditions or the legal relationship established by them, and for those purposes irrevocably submit all disputes to the jurisdiction of the English courts.

For the exclusive benefit of GMEC Ltd, GMEC Ltd shall retain the right to bring proceedings as to the substance of the matter in the courts of the country of your residence or, where these Terms and Conditions are entered into in the course of your trade or profession, the country of your principal place.

17. Charges

(a) All charges in connection with your use of This Site are specified on the 'Become a Member' page.

(b) Our charges are payable in advance through the payments system on this website(

(c) In the event of late or default payment, We reserve the right to suspend your use of This Site until all overdue payments have been settled.

(d) You agree to pay all charges for maintenance and any other activities, and to pay for loss or damage to the software, system or any services caused by:

(i) Use of This Site for purposes other than that for which it is specified
(ii) Tampering with or attempting to alter This Site
(iii) User negligence of any kind.

(e) You agree that you are solely responsible for all use of This Site accessed through your user name and password and/or other electronic identifiers with or without your consent and will pay for such use.

18. Your right to cancel
Due to the nature of the products on this site and the information given concerning the nature of the site, its content and functionality prior to subscription to membership or purchasing products, refunds will not normally be made. However this may be reviewed in exceptional cases where a request is made within three days of purchase or subscription with full details of dissatisfaction and emailed to queries@gmec.co.uk
